Terms of Service

Dettami is a service of Litchi Solutions S.r.l. (“Litchi”, “we”):

These Terms govern the use of Dettami — the Mac and Windows app, the website and the portal at dettami.litchiserver.com and the service that connects them — and are the contract between you and Litchi. You accept them when you create your account; when you activate a paid subscription you also accept the financial conditions in section 5 and, for your organisation, the Data Processing Addendum, which is part of the contract.

Read them together with the Privacy Policy and Data controls, which explain how we handle data.

In these Terms, a “consumer” is someone who uses Dettami for purposes outside their trade, business or profession (Article 3 of the Italian Consumer Code, Legislative Decree 206/2005); a “business customer” is someone who uses it for their business or profession, including for their team. Some clauses apply only to one or the other, and we say so.

Dettami is a voice dictation app for Macs and Windows PCs (the "computer"): it turns your voice into text on the computer and types it wherever you are working. If you wish, you can connect an artificial intelligence provider with your own key, to format the text and for other features (section 8). From the portal you manage your account, team and subscription.

• Requirements: a Mac, or a PC with 64-bit Windows (Intel or AMD processor). Which Mac (Apple silicon, or Intel too), which version of macOS or Windows and how much disk space you need depend on the app version: the download page states them next to the button to download it.
• Where to get it: from the Dettami website, not from the App Store or the Microsoft Store.
• First launch: the app downloads the speech model from Hugging Face; on a Mac also the tools to transcribe (Python and a few libraries, from GitHub and PyPI), while on Windows only the model. This needs an internet connection and free disk space.

Features may change over time, as described in section 13.

• To use Dettami you must be at least 16 years old and create an account, with email and password or with “Sign in with Google”.
• The details you give us must be true and up to date.
• The account is personal: do not share it and keep your password safe. If you think someone has used it without permission, change it and write to us.
• You are responsible for what happens with your account, unless it is our fault.
• A subscription seat belongs to one person and cannot be shared.

Everyone in Dettami belongs to an organisation. When you sign up, one is created for you; if you accept an invitation or use a team's join link, you join that team's organisation.

• Admins invite and remove members, change roles, manage the subscription and team settings, and see the members and the team's aggregate usage.
• Per-person usage detail is off by default: an admin can turn it on. Only those who choose to appear show up in the weekly leaderboard.
• The organisation is the controller of its members' data in the service; Litchi processes it on the organisation's behalf under the Data Processing Addendum.

Obligations when using Dettami with employees and contractors

If your organisation uses Dettami with employees or contractors, it is responsible for complying with employment and privacy law. In particular, in Italy, before turning on per-person usage detail it must comply with Article 4 of Law no. 300 of 20 May 1970 (the Workers' Statute) on remote monitoring and inform workers adequately, including under Article 13 GDPR. The same applies to any use of the service's data to assess people.

Anyone who records a meeting with the Notetaker must inform the participants and, where the law requires it, obtain their consent.

• Trial: 14 days free, no card needed. If you sign up with someone else's referral code, the trial lasts one month (30 days) longer.
• Price: a single plan, at €2.99 a month per person or €29.90 a year per person, VAT included. The price shown at the time of purchase applies. For businesses established in other European Union countries, VAT applies according to the rules in force.
• One subscription per organisation, with a single invoice for all seats. An admin activates and manages it.
• Seats: anyone who joins a paying team gets a 14-day trial (unless the admin has turned it off), and their seat is billed from the next renewal. A freed seat is not refunded for the current period and disappears at renewal.
• Automatic renewal: the subscription renews by itself at the end of each period, monthly or yearly, until you cancel it.
• Payments: handled by Stripe. The card number never passes through our servers.
• Invoices: we issue an invoice for payments; Italian companies receive it as an electronic invoice through the Sistema di Interscambio (SDI code or PEC).
• Failed payment: you have a 7-day grace period to fix the payment method; after that the licence expires and Dettami stops until the payment goes through. The data on your computer stays where it is.
• Changes to prices and conditions: we tell you at least 30 days in advance, by email or in the portal. They apply from the first renewal after the notice; if you do not accept them, you can cancel before they apply.

Cancelling the subscription

You can cancel at any time from the portal (Settings → Subscription). The subscription stays active until the end of the period already paid and then does not renew. We do not refund partial periods, except as set out below and where the law gives you that right.

Consumers' right of withdrawal

If you are a consumer, you have the right to withdraw from the contract within 14 days without giving any reason (Articles 52 et seq. of the Italian Consumer Code).

Before paying you already get a 14-day free trial, with no card and no commitment. When you activate the subscription we ask you to expressly agree that the paid service starts immediately, during the withdrawal period, and to acknowledge that for digital content the Consumer Code allows withdrawal to be excluded in this case (Article 59(1)(o)).

We nevertheless give you a more favourable rule: if you write to us within 14 days of the first subscription payment, you withdraw and we refund that payment in full, monthly or yearly, within 14 days of your request and using the same payment method. The subscription ends and does not renew.

To withdraw, a clear statement by email to info@litchisolutions.com is enough; you can also use the model withdrawal form (Annex I, Part B, of the Consumer Code). The rule applies to the first payment: you avoid later renewals by cancelling before they fall due.

Business customers

For those buying for their business or profession, the Consumer Code's right of withdrawal does not apply: the subscription can always be cancelled for future periods.

• Everyone has a referral code to share. Whoever signs up with your code gets one extra month of trial.
• For each invited person who pays for the first time you get one month of Dettami: if your team already pays, a discount equal to one month on the next invoice; if you are still on the trial, one extra month of trial.
• The reward has no cash value: it cannot be converted, refunded or transferred.
• Abuse, such as creating fake accounts or inviting yourself, is not allowed: in those cases we cancel rewards obtained unfairly.
• We may change or suspend the programme, with a notice in the portal; rewards already earned remain valid.
• The person who invites does not see the invitee's email.

You can connect an artificial intelligence provider to Dettami (Google Gemini, Groq, Anthropic Claude, OpenAI) by entering your own key. In that case:

• the relationship with the provider is yours: you accept its terms and pay any costs directly to it;
• the text leaves your computer and goes straight to the provider, without passing through Litchi (Privacy Policy, section 4);
• to the extent permitted by law, we are not responsible for the provider's availability, its costs or how it handles data under its own terms;
• you can remove the key at any time: without keys Dettami formats the text with rules that run on the computer.

Dettami also uses third-party components, such as the speech model downloaded on first launch and open-source components distributed under their own licences.

Transcription and formatting, with or without AI, can contain mistakes: misheard words, wrong names, sentences reworded inaccurately. Always read the text before sending or using it, especially when it matters: contracts, messages to clients, health or financial data, code.

When you dictate, Dettami transcribes and formats what you say: it does not carry out the instructions it contains and does not answer questions. Commands and transforms act only when you ask for them, on the selected text. An AI model can still misread the text: the final check is yours.

• What you dictate and write remains yours. We acquire no rights over your content.
• For content you put on our servers — the shared glossary and snippets, synced notes — you only give us permission to store it and show it to you and your team to run Dettami, until you delete it.
• We do not use your content to train artificial intelligence models.
• You are responsible for the content you share with your team: you must have the right to do so.
• Dettami — the app, the website, the name and the logo — belongs to Litchi or its licensors. These Terms transfer no rights to you beyond the licence in section 11.

For the duration of the trial or subscription we grant you a personal, non-exclusive, non-transferable licence, revocable in the cases set out in these Terms, to install and use the Dettami app on your computers (Macs or Windows PCs), for yourself or for your organisation.

The app checks for updates automatically and installs them, to fix bugs, improve security and add features: on a Mac by itself, on Windows when you choose “Install and Restart”.

By using Dettami you agree not to:

• use it for illegal activities or to infringe other people's rights, including their privacy;
• record or transcribe conversations and meetings without informing those taking part;
• decompile, disassemble or reverse engineer the app, except as allowed by mandatory law (for example Article 64-quater of the Italian Copyright Law, Law 633/1941);
• circumvent the licence, the free trial or the limits of the service, or share your account;
• resell, rent or sublicense Dettami, or offer it as a service to third parties;
• attack or overload the service, or use its APIs outside the normal use of the app and the portal;
• create fake accounts, including for the referral programme.

If you seriously breach these rules, we may suspend or close your account (section 14).

We work to keep Dettami running at all times, but the online service may stop for maintenance, failures or causes beyond our control. Transcription runs on your computer and does not depend on our online service.

Dettami evolves: we may add, change or remove features. If a change significantly reduces what you have paid for, we tell you at least 30 days in advance and you can withdraw, with a refund of the part of the subscription already paid and not used.

• By you: you can close your account at any time from the portal (Privacy → Delete account) or from the app. If you are the only admin of a team with other members, first appoint another admin; if you are on your own and the subscription is active, cancel it first.
• By us: we may suspend or close the account if you seriously breach these Terms, if you do not pay after the grace period, or if the law or an authority requires it. Except in urgent cases or where the law requires otherwise, we warn you first and give you a chance to put things right.
• What happens to the data: on closure we delete the account as described in the Privacy Policy, keeping only what the law requires (such as invoices). The data on your computer stays on your computer.
• Clauses that by their nature must survive remain in force after closure: intellectual property, liability, governing law and jurisdiction.

We commit to providing Dettami with care and professionalism. We cannot, however, guarantee that it is always free of errors, or that transcription and formatting are always accurate (section 9).

If you are a consumer

All the rights the Consumer Code gives you remain unaffected, including the legal guarantee of conformity for digital content and services (Articles 135-octies et seq.). No clause in these Terms limits them.

If you are a business customer

To the extent permitted by law, Litchi is liable only for direct and foreseeable damage, up to a total amount not exceeding what you paid us for Dettami in the 12 months before the event that caused the damage. We are not liable for indirect damage, such as loss of profit, or for the loss of data kept only on your devices.

For everyone

The limitations in this section do not apply in cases of wilful misconduct or gross negligence (Article 1229 of the Italian Civil Code), personal injury, or other cases where the law does not allow them.

• These Terms are governed by Italian law. If you are a consumer living in another European Union country, you keep the mandatory protections of your country's law.
• Consumers: disputes fall under the court of the place where you reside or are domiciled (Article 66-bis of the Consumer Code). You can also use the alternative dispute resolution procedures provided by the Consumer Code (Articles 141 et seq.).
• Business customers: the Court of Treviso has exclusive jurisdiction.
• Before going to court, write to us: we will try to sort it out together.

We may change these Terms, for example for new features or changes in the law. We tell you at least 30 days in advance, by email or in the portal, explaining what changes. If you do not agree, you can cancel the subscription or close your account before the changes apply; if you keep using Dettami after that date, the new Terms apply. Changes required by law may apply immediately.

• These Terms, with the documents they refer to, are the entire agreement between you and Litchi about Dettami.
• If a clause is invalid, the others remain valid.
• If we do not enforce a right straight away, we do not waive it.
• We send contract communications to your account email or in the portal; you can write to us at info@litchisolutions.com.
• The Terms are published in Italian and English; if they conflict, the Italian version prevails.

If you are a business customer, under Articles 1341 and 1342 of the Italian Civil Code you specifically approve these clauses: 5 (automatic renewal, suspension for non-payment, price changes), 6 (no refund of partial periods), 8 (liability for AI providers), 13 (changes to the service), 14 (suspension and closure of the account), 15 (limitation of liability), 16 (exclusive jurisdiction of Treviso), 17 (changes to the Terms).
